Terms of Service

1. Acceptance of Terms
By accessing or using the DirectAI platform ("Service"), operated by Agile Cloud LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
DirectAI provides AI inference API services including large language model completions, text embeddings, audio transcription, and related capabilities. The Service is accessed via API endpoints and a web dashboard at agilecloud.ai.
3. Account Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the Service to generate content that is illegal, harmful, or violates third-party rights
- Attempt to reverse-engineer, decompile, or extract model weights from the Service
- Exceed rate limits or circumvent usage controls
- Share API keys or allow unauthorized third-party access to your account
- Use the Service in any manner that could disable, overburden, or impair our infrastructure
- Resell access to the Service without a written reseller agreement
5. Pricing and Payment
The Service offers tiered pricing plans as described on our pricing page. Plans may include a monthly base fee and usage-based charges calculated per token, per minute, or per request depending on the modality and tier. Usage is metered continuously and billed monthly via Stripe. The Free tier provides a one-time credit; usage beyond the credit requires upgrading to a paid plan. You authorize us to charge your payment method for all fees incurred. Fees are non-refundable except as required by law.
6. API Keys
API keys are secrets that authenticate your requests. You are solely responsible for keeping them secure. We store only SHA-256 hashes of your keys — we cannot recover a lost key. Revoke compromised keys immediately via the dashboard.
7. Data and Privacy
We process your API inputs only to provide inference responses. We do not use your input data to train models. Please review our Privacy Policy for details on data collection, storage, and processing.
8. Uptime and SLA
We target 99.5% uptime for Pro plans, 99.9% for Business plans, and 99.99% for Enterprise plans. SLA credits are available for Business and Enterprise customers per their service agreement. The Free tier is provided on a best-effort basis with no uptime guarantees.
9. Intellectual Property
You retain all rights to your input data and the outputs generated by the Service. We retain all rights to the Service itself, including our infrastructure, APIs, documentation, and proprietary technology.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Termination
We may suspend or terminate your access at any time for violation of these Terms or for any reason with 30 days' notice. You may cancel your account at any time via the dashboard. Upon termination, your right to use the Service ceases immediately.
12. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.
13. Changes to Terms
We may update these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service. Continued use after changes constitutes acceptance of the revised Terms.
